Terms of Service

ROAD is a two-sided advertising marketplace operated by a private limited company registered in the Republic of Cyprus (the "Company", "we", "us", or "ROAD"). The platform connects businesses ("Advertisers") who wish to display advertisements on private vehicles with drivers ("Drivers") who earn a monthly fee for displaying those advertisements while driving their normal routes.

By creating an account, you agree to be bound by these Terms of Service. If you do not agree, you may not use the platform.

To register as a Driver you must:

• Be at least 18 years of age;
• Hold a valid Republic of Cyprus driving licence or an EU driving licence recognised in Cyprus;
• Own or have the legal right to use the vehicle you register;
• Reside or operate primarily within Cyprus; and
• Have a valid IBAN bank account to receive payouts via Stripe Connect.

To register as an Advertiser you must:

• Be a legally registered business entity or sole trader in Cyprus or the EU;
• Provide a valid VAT number where applicable; and
• Have a valid payment method accepted by Stripe.

By participating in a campaign as a Driver, you agree to:

• Allow ROAD or its appointed installer to apply the agreed advertising material to your vehicle;
• Keep the advertising material clean, undamaged, and fully visible throughout the campaign period;
• Drive your normal routes with the advertisement on your vehicle as agreed;
• Keep the ROAD mobile application installed and the GPS background tracking active during driving hours (05:00–24:00);
• Respond to spot-check notifications within 4 hours by submitting a timestamped photo of your vehicle;
• Submit monthly re-verification photos when requested;
• Not remove, alter, obscure, or damage the advertising material without prior written consent from ROAD;
• Book a removal appointment through the ROAD app when a campaign ends — self-removal without booking is a breach of this agreement; and
• Maintain your vehicle in a roadworthy condition throughout the campaign.

By creating a campaign as an Advertiser, you agree to:

• Provide advertising materials that comply with Cyprus and EU advertising standards and do not contain illegal, offensive, or misleading content;
• Pay the agreed monthly campaign fee via Stripe before the campaign becomes active;
• Maintain an active Stripe subscription for the duration of the campaign; and
• Not contact Drivers directly outside the ROAD platform without prior approval.

Advertiser payments: Campaign fees are charged monthly via Stripe Subscriptions. The first payment activates the campaign subject to ROAD admin approval. If a monthly invoice fails, the campaign is automatically paused until payment is resolved.

Driver payouts: ROAD retains 20% of each campaign payment as a platform fee. Drivers receive 80%, paid on the 1st of each month via Stripe Connect Express direct bank transfer. Payouts are conditional on meeting the monthly km target, having an approved wrap photo on file, and having no active fraud alerts. See the Driver Agreement for full payout conditions.

Refunds: Campaign fees are non-refundable once Drivers have been matched and the ad has been installed. Disputes must be raised within 7 days of the relevant invoice date by emailing admin@theroadapp.com.

Taxes: ROAD is VAT-registered in Cyprus. Applicable VAT will be added to Advertiser invoices. Drivers are independent contractors responsible for their own tax declarations to the Tax Department of Cyprus.

By registering as a Driver, you consent to ROAD collecting GPS location data from your mobile device while the ROAD app is active during driving hours. This data is used solely to calculate kilometres driven for payout purposes and to generate impression reports for Advertisers. GPS data is stored on Supabase servers within the EU. Drivers may request a copy of their GPS logs at any time by emailing admin@theroadapp.com. See our Privacy Policy for full details.

All advertising designs, campaign materials, brand assets, and ROAD platform content remain the intellectual property of their respective owners. Drivers are granted a limited, non-exclusive licence to display the advertising material on their vehicle during the campaign period only. Advertisers retain ownership of their design files and grant ROAD a licence to reproduce them for the campaign.

ROAD may suspend or terminate any account immediately for:

• Breach of these Terms or the Driver Agreement;
• Three or more failed spot checks;
• Suspected or confirmed GPS fraud;
• Removal of advertising material without a booked removal appointment;
• Providing false information at registration; or
• Any activity that brings ROAD or its Advertisers into disrepute.

Upon termination, any pending payout may be withheld pending investigation. The €50 driver deposit may be captured if a breach has caused loss to ROAD or an Advertiser.

To the maximum extent permitted by applicable law, ROAD's total liability to any user shall not exceed the total fees paid by or to that user in the 3 months preceding the claim. ROAD is not liable for road accidents, vehicle damage, loss of income, or any indirect or consequential losses arising from use of the platform. Drivers operate as independent contractors and ROAD accepts no liability for their driving behaviour.

These Terms are governed by the laws of the Republic of Cyprus and the applicable laws of the European Union. Any disputes shall first be referred to ROAD for resolution by emailing admin@theroadapp.com. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the Courts of Nicosia, Cyprus. EU consumers retain all statutory rights granted by EU consumer protection law.

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
